Terms & Conditions

“Goods” means the GLP-1 products, health supplements and related items supplied by GKDM. “Order” means the Customer’s order for Goods. “Contract” means the agreement between GKDM and the Customer for the sale and purchase of Goods incorporating these Terms.

An Order constitutes an offer by the Customer to purchase Goods in accordance with these Terms. The Order is only accepted when GKDM issues a written acceptance or dispatches the Goods, at which point the Contract comes into existence. These Terms apply to the Contract to the exclusion of any other terms the Customer seeks to impose.

All Goods are supplied for lawful distribution within regulated supply chains only. The Customer warrants that it holds all licences, registrations and authorisations required to purchase, store, handle and onward-supply the Goods, and that it will comply with all applicable Good Distribution Practice (GDP), MHRA and other regulatory requirements.

The Customer is responsible for ensuring Goods are supplied only to persons legally entitled to receive them.

Prices are quoted in pounds sterling (£) and are exclusive of VAT, which is charged at the prevailing rate. Unless otherwise agreed in writing, invoices are payable within 30 days of the invoice date. We reserve the right to charge interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Where Goods require temperature-controlled storage and transport, GKDM will maintain the cold chain up to the point of delivery. Risk in the Goods passes to the Customer on delivery. The Customer must inspect Goods on receipt and notify GKDM of any shortage, damage or cold-chain deviation within 48 hours.

Title to the Goods does not pass to the Customer until GKDM has received payment in full. Until title passes, the Customer must store the Goods separately and in conditions that preserve their quality and regulatory compliance.

GKDM warrants that on delivery the Goods conform to their specification and are free from material defects. Returns of regulated Goods are accepted only where permitted by law and GKDM’s returns procedure, and where cold-chain and audit-trail integrity can be demonstrated.

Nothing in these Terms limits liability that cannot lawfully be limited. Subject to that, GKDM’s total liability arising under or in connection with the Contract shall not exceed the total sums paid by the Customer for the Goods giving rise to the claim. GKDM shall not be liable for any indirect or consequential loss.

Each party shall keep confidential the other’s confidential information. GKDM processes personal data in accordance with the UK GDPR and the Data Protection Act 2018. Further detail is set out in our privacy and cookie documentation.

Either party may terminate the Contract with immediate effect by written notice if the other commits a material breach that is not remedied within 14 days, or becomes insolvent. GKDM may suspend supply where the Customer’s regulatory authorisations lapse.

These Terms and any dispute arising out of them are governed by the laws of the State of Delaware, USA, and the parties submit to the exclusive jurisdiction of the courts of the State of Delaware.
